1. Introduction

Welcome to Midpoint. Midpoint is a social planning app that helps friends find fair places to meet, choose suitable times, vote on venue cards, save places and discover nearby social spots. By accessing the app, website, beta program or related services, you agree to these Terms and our Privacy Policy.

If you do not agree with these Terms, do not use Midpoint.

2. Eligibility

You must be at least 13 years old, or the minimum age required in your country or region, to use Midpoint. If you use Midpoint on behalf of another person or group, you confirm that you have permission to do so.

3. Your Account

You are responsible for keeping your account information accurate and secure. You must not share, sell, transfer or misuse accounts, impersonate another person, create misleading profiles, or access another user’s account without permission.

You are responsible for activity that occurs through your account unless the activity was caused by our breach of these Terms or applicable law.

4. What Midpoint Provides

Midpoint can help you search for friends, add friends, create plans, propose times, calculate midpoint areas, discover places, vote or swipe on venue cards, save places and open third-party map, venue or booking links.

Midpoint does not own, operate, control or guarantee venues, transport services, maps providers, booking platforms, opening hours, menus, prices, ratings, safety conditions or the conduct of people you meet offline.

5. Location, Venue and Travel Information

Midpoint uses location and venue data to produce recommendations. Results may be incomplete, delayed, unavailable or inaccurate. You should check important details directly with the venue, transport provider or maps service before travelling, booking or paying.

You are responsible for deciding whether a suggested place, route, plan, time or meetup is safe and suitable for you.

6. Your Use of Midpoint

You agree that you will not:

• Use Midpoint to harass, stalk, threaten, shame, bully, deceive or harm another person.
• Add or use another person’s address, location, email, photo or personal information without permission.
• Create plans that are unlawful, unsafe, exploitative, misleading or invasive of someone’s privacy.
• Scrape, reverse engineer, overload, attack, bypass, copy or interfere with Midpoint or its providers.
• Upload, send or display unlawful, infringing, hateful, violent, sexual, misleading or harmful content.
• Use Midpoint for spam, unsolicited advertising, fake bookings, fraudulent activity or commercial solicitation without permission.
• Use Midpoint in a way that breaches applicable law, platform rules, third-party terms or these Terms.

7. Friends, Plans and Offline Meetups

Midpoint is designed for planning with friends and trusted contacts. You are responsible for the people you invite, the details you share, the plans you create and the decisions you make offline.

We encourage you to meet in public places, confirm details with your group, respect people’s boundaries and avoid sharing someone else’s location or contact details without consent.

8. User Content and Feedback

You may provide content such as profile details, plan names, votes, saved places, photos, feedback, support messages or beta notes. You keep ownership of content you provide, but grant Midpoint a licence to use it as needed to operate, secure, improve and support the service.

If you send us feedback or suggestions, we may use them without obligation to pay you or treat them as confidential.

9. Third-Party Services

Midpoint relies on services such as Google Maps Platform, Apple, Google sign-in, push notification services, hosting providers and venue or booking websites. Your use of those features may be subject to third-party terms and privacy policies.

We are not responsible for third-party websites, booking pages, maps directions, venue listings, payment pages or services outside Midpoint.

10. Beta Features and Changes

Midpoint may be offered as a beta or early-access service. Features may be experimental, unstable, incomplete, removed, redesigned or unavailable. We may update recommendation logic, data models, authentication, notifications, onboarding, plan flows and venue discovery as the product develops.

11. Intellectual Property

Midpoint’s app, website, name, logos, interface, code, designs, copy, graphics, product flows and related materials are owned by us or our licensors. You may not copy, modify, distribute, sell, reverse engineer or create derivative works from Midpoint except as permitted by law or with written permission.

12. Suspension and Termination

We may suspend, restrict or terminate access if we reasonably believe you have breached these Terms, created risk for users, interfered with the service, violated third-party rights or used Midpoint unlawfully. Where appropriate, we may also remove content, disable features or preserve limited records for safety, legal or security reasons.

13. Disclaimers

Midpoint is provided on an “as is” and “as available” basis to the extent permitted by law. We do not promise that Midpoint will be uninterrupted, error-free, secure, accurate, always available, suitable for your specific plans, or that any venue, route, recommendation or group decision will meet your expectations.

Nothing in these Terms excludes rights or guarantees that cannot be excluded under applicable law.

14. Limitation of Liability

To the maximum extent permitted by law, Midpoint will not be liable for indirect, incidental, special, consequential, exemplary or punitive loss, loss of profits, loss of data, venue issues, travel disruption, third-party service failures or offline incidents arising from your use of Midpoint.

15. Changes to These Terms

We may update these Terms as Midpoint changes. The latest version will be posted on this page. If a change is material, we may provide additional notice in the app, by email or through the website where reasonable.
